Terms of Service

These Terms of Service ("Terms") govern your access to and use of Baseline (the "Service"), a product operated by Praise Okonkwo, trading as Aboveone ("Aboveone," "we," "us," or "our"), available at baseline.aboveone.net. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Baseline is a personal project management tool for individual project managers, organizing work across a Portfolio → Program → Project hierarchy and aligned with the PMBOK® 8th Edition framework. It includes project charters, work breakdown structures, risk and stakeholder registers, earned value measurement, document storage, and an AI assistant.

Baseline is an independent product. It is not affiliated with, endorsed by, or sponsored by the Project Management Institute (PMI). "PMBOK" is a registered trademark of PMI. PMBOK 8 alignment describes how the Service is structured, not a certification, warranty of compliance, or substitute for professional judgment.

2. Eligibility & Accounts

You must be at least 18 years old to use Baseline. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at baseline@aboveone.net if you suspect unauthorized use.

3. Subscription, Billing & Cancellation

Baseline is currently offered at a Launch Price: $15/month for your first 6 months of an active subscription, then $30/month thereafter. Subscriptions are billed in advance and processed by Stripe. We do not collect or store your card details ourselves.

You may cancel at any time from your billing portal. Cancellation stops future billing, but your subscription remains active for the remainder of the period you've already paid for. We do not offer refunds, including for partial billing periods, except where required by law.

If a payment fails, we may suspend access to paid features until the issue is resolved. We may change the subscription price on a going-forward basis with reasonable advance notice to active subscribers; continued use after a price change takes effect constitutes acceptance of the new price.

4. Your Content

"Your Content" means the projects, tasks, documents, notes, and other data you create or upload. You retain ownership of Your Content. You grant us a limited license to host, store, process, and display Your Content solely to provide and maintain the Service (for example, generating embeddings for knowledge-base search, or rendering it back to you).

You're responsible for Your Content and for having the rights to upload it. Don't upload content that is unlawful, infringes someone else's rights, or that you don't have permission to share.

5. AI Features

Baseline includes an AI assistant that can read your project data to answer questions and, only with your explicit confirmation, create or modify records on your behalf (for example, creating a task or logging a risk). It never writes data without you approving the specific action.

To generate a response, relevant project data and your message are sent to the AI provider configured for your account (OpenAI, Anthropic, Google, OpenRouter, or Ollama, depending on your settings). Knowledge-base document text and search queries are sent to Cloudflare Workers AI to create vector embeddings; relevant retrieved passages may then be included in the request to your selected chat provider. AI output can be incomplete or incorrect. It is a drafting aid, not professional, legal, financial, or project-management advice, and you're responsible for reviewing and verifying anything the AI produces before relying on it.

You may optionally provide your own API key for a third-party AI provider in Settings. If you do, your use of that provider is also governed by that provider's own terms, and you're responsible for any usage costs they charge. Baseline encrypts the key at the application layer using AES-256-GCM before database storage, decrypts it only on the server, and uses it only to serve requests you make within Baseline.

6. Acceptable Use

  • No unlawful, fraudulent, or abusive use of the Service.
  • No attempting to access another user's account or data.
  • No scraping, reverse engineering, or automated bulk extraction of the Service outside normal use of your own account.
  • No reselling or sublicensing access to the Service without our written consent.
  • No use that circumvents rate limits, security controls, or the subscription gate.

We may suspend or terminate accounts that violate this section, with or without notice.

7. Third-Party Services

Baseline relies on infrastructure and services operated by others to function, including Supabase (database, authentication, storage), Stripe (payments), Resend (transactional email), Cloudflare (bot protection and knowledge-base vector generation), Vercel (hosting), and your selected AI provider. Their availability and performance affect ours, and their own terms and policies apply to their part of the processing.

8. Our Intellectual Property

Aside from Your Content, the Service (including its design, code, and the Baseline name and logo) is owned by us and protected by intellectual property law. These Terms don't grant you any rights to our trademarks or branding.

9. Data on Cancellation & Account Deletion

Cancelling your subscription does not delete your data. It stays in Baseline until you choose to act on it. From your profile, you can either:

  • Delete your data: permanently erases your projects, tasks, documents, and related records, while keeping your login working, or
  • Delete your account: permanently removes your account and access entirely.

Both actions are permanent and cannot be undone by us once performed.

10. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate.

11. Limitation of Liability

To the maximum extent permitted by law, we won't be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or business, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, for non-payment, or if we discontinue the Service, with reasonable notice where practical.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we'll notify active subscribers by email or in-app notice before the changes take effect. Continuing to use the Service after that constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts of England and Wales.
